Board of Directors
The Board of Directors of SUEZ ENVIRONNEMENT is composed of 18 members who were named for 4 years by the Special Meeting of Shareholders held on 15 July 2008 whom:
- 9 members appointed on the proposal of the GDF SUEZ Group,
- 5 members appointed on the proposal of the other shareholders of the agreement: Groupe Bruxelles Lambert (2), Areva (1), CNP (1) and Sofina (1),
- 4 independent directors, jointly nominated by the parties to the shareholders' agreement as proposed by the Chairman of the Board.
In 2009, the Board met eight times, with an attendance rate of 86%. Mr. Angel Simòn abstained on several occasions from participating in meetings of the Board of Directors, due specifi cally to the discussions that were held in 2009 on the taking of a controlling interest in Agbar, a company listed on the Spanish market. The average attendance rate excluding Mr. Angel Simòn would have been 91%.
The main issues discussed related to the Company’s results (examination of the annual, half-year and quarterly results), the Group’s financing situation (debt, banking counterparties, available cash, EMTN Program), the plan to acquire control of all of Agbar’s water and environmental activities, and development projects such as the plan to respond to the call for bids from the State of Victoria, Australia, for a desalination plant, and the plan to respond to the call for bids from the Syndicat des Eaux d’Ile de France (SEDIF) to delegate management of the drinking water production and distribution service in Ile de France.
