Board of Directors
The Board of Directors of SUEZ ENVIRONNEMENT is composed of 18 members who were named for 4 years by the Special Meeting of Shareholders held on 15 July 2008 whom:
- 9 members appointed on the proposal of the GDF SUEZ Group,
- 5 members appointed on the proposal of the other shareholders of the agreement: Groupe Bruxelles Lambert (2), Areva (1), CNP (1) and Sofina (1),
- 4 independent directors, jointly nominated by the parties to the shareholders' agreement as proposed by the Chairman of the Board.
In 2008, after the company was listed on the stock exchange on July 22, 2008, the Board met four times with a Board Member attendance rate of 93%.
The main issues dealt with have related to the way in which company governance should work (composition of committees, internal regulation, Chief Executive Officer’s compensation), the company’s results (examination of the half year and quarterly results), the Group’s financing situation (debt, banking counterparties, available cash) and development projects.
